Job Description

Ideal Candidate will have:

- Expertise as serving as a General Counsel

-15-20 years plus experience

- Strong banking knowledge (regulatory experience dealing with the FED/OCC - NYS Banking Department.

- Leadership/managerial experience

- Coverage areas: treasury services, corporate lending

- Contract review, negotiation & drafting

- Strong regulatory experience/capability of working closely with bank's CCO in handling regulatory exams, inquiries and requests.

Essential Job Functions:

Research and monitor changes in state and federal laws and regulations to ensure compliance with legal and reporting requirements. Report to management. Keep management informed of status.

Review of legal documents to provide sound advice to General and senior management.Represent the New York Branch at internal and external meetings assuring a stellar image of the organization. Establish appropriate written policies and procedures to comply with regulatory requirements.

Work with Compliance Officer and each department to meet Federal requirements and examination standards. Review and assist regulatory reporting activities of the Accounting Department. Research and answer questions concerning legal, regulatory or general banking issues. Prepare memoranda for the General Manager and senior management.

Act as secretary/organizer for various management committees and forums. Provide legal and drafting support for corporate transactions.
