Job Description


This position performs a crucial role by monitoring notifications for events such as corporate reorganizations, acquisitions, stock splits, and mergers, etc. The information is prepared for processing and communicated internally for review and instructions. The Corporate Action/Class Action Specialist also has responsibilities for filing proof of claims for certain class actions. This position interacts daily with TCW's internal and external business partners.

Essential Function/Duties:
  • Responsible for all voluntary and mandatory corporate actions, including but not limited to Exchanges, Consents, Tenders, Puts, and Calls, Stock Splits, Mergers, Spin-Offs, Conversions.
  • Review and confirm corporate action details with custodians and offering agents.
  • Interface with Operations, Client Services, and Portfolio Management across TCW.
  • Coordinate Portfolio Management responses on all voluntary corporate events with custodians, outsourced bank, and tabulating agents.
  • Process all corporate actions on internal systems and ensure accurate postings for trading and Portfolio Management reporting.
  • Reconcile the effect of corporate actions on internal systems and custodian records
  • Review class action events and file proof of claims for transactions that are not handled by the custodians
  • Maintain Corporate Action and Class Action databases efficiently and timely.
  • Complete multiple tasks in an accurate and timely manner.
  • Support SSAE 16 (formerly SAS 70) requirements for the Operations Team.


Minimum Qualifications:
  • Bachelor's degree in Accounting, Finance, Economics or related field.
  • Ability to work in a team environment and interact with all levels of the organization.
  • Strong interpersonal skills (must establish good rapport with internal and external business partners, including custodians).
  • Excellent organizational skills and attention to details.
  • Effective verbal and written communication skills.
  • Strong analytical and problem solving capabilities.
  • Demonstrated ability to work independently, prioritize, multi-task, and consistently meet deadlines.
  • Strong computer skills, including proficiency in Microsoft Excel and Word.
  • Knowledge of domestic and global fixed income and equity securities/instruments is required.
  • Corporate Actions and Class Actions experience with fixed income and/or equity securities is a plus.
  • Bloomberg experience is required.


Desired Qualifications:
  • Two plus (2+) years experience performing corporate actions or similar duties with a buy-side asset manager, custodial bank, or equivalent sell side experience preferred.
